These Terms of Service (“Terms”) govern your access to and use of the website, mobile application, membership platform, digital content, classes, events, and other services provided by embodyment by Susana Victoria Perez LLC, doing business as embodyment by Susana (“embodyment by Susana,” “we,” “us,” or “our”).
By accessing or using the embodyment by Susana website, mobile application, membership, digital content, classes, programs, events, or other services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not access or use the Services.
1. ABOUT EMBODYMENT BY SUSANA
embodyment by Susana provides educational and experiential offerings centered on trauma-based somatics, embodiment, nervous-system awareness, movement, breathwork, spirituality, meditation, and related personal-development practices.
The Services may include:
● digital memberships and content libraries;
● live online classes;
● prerecorded classes and practices;
● educational videos and audio;
● workshops, programs, and events;
● written educational materials;
● community or interactive features;
● booking and scheduling functionality; and
● private sessions and other services.
Certain Services, including private sessions, may be subject to additional terms that will be provided to you separately. Where separate terms are provided for a particular Service, those terms will govern that Service in addition to these Terms.
2. NOT MEDICAL OR MENTAL-HEALTH TREATMENT
The Services provided by embodyment by Susana are educational, experiential, and personal-development services.
They are not medical care, psychotherapy, psychiatric care, diagnosis, treatment, or emergency mental-health services.
Information and practices provided through the Services are not intended to diagnose, treat, cure, or prevent any disease, disorder, or medical or psychological condition.
Participation in somatic practices, movement, breathwork, meditation, or other practices offered through the Services is voluntary.
You are responsible for determining whether participation is appropriate for you and for consulting an appropriately licensed healthcare or mental-health professional when appropriate.
If you are experiencing a medical or psychological emergency, contact an appropriate emergency service or qualified healthcare professional rather than relying on the Services.
4. ACCOUNTS
Certain Services require you to create an account.
You agree to provide information that is accurate, current, and complete and to maintain the accuracy of that information.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring under your account.
You may not create an account using another person's identity, impersonate another person, or provide false or misleading information.
We reserve the right to suspend or terminate accounts that violate these Terms or present a security, legal, or other risk to embodyment by Susana or other users.
5. MEMBERSHIP
embodyment by Susana offers a recurring digital membership currently priced at $38 per month, unless otherwise stated at the time of enrollment.
Membership may include access to digital content, live classes, prerecorded classes, educational materials, and other benefits described at the time of enrollment.
The specific content and benefits included with membership may change over time as embodyment by Susana develops and updates the Services.
We do not guarantee that any particular class, instructor, video, practice, event, or piece of content will remain available indefinitely.
Recurring Billing
By enrolling in the membership, you authorize the applicable payment processor to charge your selected payment method $38 per month, plus any applicable taxes, until you cancel.
Your membership will automatically renew each month unless cancelled before the next billing
date.
Cancellation
You may cancel your membership directly through your account within the Arketa platform. Cancellation will prevent future recurring charges. Your access will generally continue through the end of the paid billing period unless otherwise stated or your access is terminated pursuant to these Terms.
Refunds
Membership fees are non-refundable.
We do not provide prorated refunds or credits for unused membership time, partial months, missed classes, unused content, or cancellation after a monthly billing charge has been processed.
Nothing in these Terms limits any refund or consumer right that cannot legally be waived under applicable law.
8. ARKETA AND OTHER THIRD-PARTY TECHNOLOGY
Certain portions of the Services, including the website, membership functionality, booking functionality, digital content library, mobile application, account functionality, payment-related functionality, and related features, may be provided through or supported by third-party technology providers, including Arketa.
Arketa is a technology provider supporting embodyment by Susana and is not the provider of the embodyment by Susana Services themselves.
Your relationship concerning the purchase and use of embodyment by Susana Services is with embodyment by Susana Victoria Perez LLC.
Third-party providers may have their own terms, privacy policies, and other applicable agreements governing their technology and processing activities.
You acknowledge that certain features of the Services may depend upon the availability and functionality of third-party platforms and services.
9. INTELLECTUAL PROPERTY
All content made available through the Services by embodyment by Susana, including:
● videos;
● audio recordings;
● classes;
● courses;
● written materials;
● photographs;
● graphics;
● logos;
● trademarks;
● branding;
● text;
● practices and exercises;
● educational materials;
● website content;
● application content; and
● the selection and arrangement of such materials
is owned by or licensed to embodyment by Susana Victoria Perez LLC and is protected by applicable intellectual-property laws.
Your purchase of or access to the Services does not transfer ownership of any intellectual property to you.
Subject to these Terms and your continued payment for applicable Services, embodyment by Susana grants you a limited, non-exclusive, non-transferable, revocable license to access and use the content solely for your personal, non-commercial use.
You may not:
● reproduce or redistribute our content;
● publicly display or perform our content;
● sell or sublicense our content;
● share paid membership access;
● record or reproduce live classes for redistribution;
● upload our content to another platform;
● create derivative works for commercial purposes;
● use our materials to provide competing services; or
● otherwise exploit our intellectual property without prior written permission.
10. USER CONTENT
Certain Services may permit you to submit comments, testimonials, reviews, photographs, messages, or other material (“User Content”).
You retain ownership of User Content that you lawfully own.
By submitting User Content to areas of the Services intended to be public or shared with other users, you grant embodyment by Susana a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and distribute that User Content solely as reasonably necessary to operate and provide the applicable Services.
You represent that you have the rights necessary to submit the User Content and that doing so does not violate another person's privacy, intellectual-property, publicity, contractual, or other rights.
We reserve the right to remove User Content that we reasonably believe violates these Terms, applicable law, or the rights of others.
12. PROHIBITED CONDUCT
You agree not to:
● use the Services for unlawful purposes;
● violate applicable laws or regulations;
● impersonate another person;
● interfere with the operation or security of the Services;
● attempt to gain unauthorized access to accounts or systems;
● introduce malicious code or harmful software;
● scrape, copy, or systematically extract content without authorization;
● circumvent access controls;
● share account credentials or paid membership access with others;
● reproduce or commercially exploit embodyment by Susana content without authorization;
● harass, threaten, abuse, or harm other users;
● use the Services to distribute spam or malicious material; or
● engage in conduct that could reasonably harm embodyment by Susana, its users, or its
service providers.
13. THIRD-PARTY SERVICES AND LINKS
The Services may contain links to websites, applications, products, or services operated by third parties.
These third parties are independent of embodyment by Susana.
We do not control and are not responsible for the content, availability, privacy practices, security, or terms of third-party websites or services.
Your use of third-party services may be subject to additional terms and privacy policies established by those providers.
14. AVAILABILITY AND CHANGES TO THE SERVICES
We may modify, update, suspend, or discontinue any portion of the Services at any time.
We may change classes, schedules, instructors, content, programs, features, or other aspects of the Services.
We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
Some features may depend upon third-party technology, internet connectivity, mobile devices, app stores, or other factors outside our control.
15. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EMBODYMENT BY SUSANA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES OR THEIR CONTENT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RELIABILITY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
NOTHING IN THESE TERMS DISCLAIMS A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBODYMENT BY SUSANA VICTORIA PEREZ LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO EMBODYMENT BY SUSANA FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS ($100).
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
17. ASSUMPTION OF RISK
Participation in movement, breathwork, somatic practices, meditation, experiential exercises, or other practices offered through the Services may involve physical, emotional, psychological, or other risks.
By voluntarily participating, you acknowledge that you are responsible for determining whether a particular practice is appropriate for you and for modifying or discontinuing participation when appropriate.
You agree to seek professional medical or mental-health guidance when needed.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded.
18. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless embodyment by Susana Victoria Perez LLC and its owners, officers, employees, contractors, agents, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising out of:
● your violation of these Terms;
● your unlawful use of the Services;
● your User Content; or
● your violation of the rights of another person or entity.
19. TERMINATION
We may suspend or terminate your access to the Services if you violate these Terms, fail to make required payments, engage in unlawful or harmful conduct, or otherwise create a risk to embodyment by Susana or others.
You may stop using the Services at any time.
Termination does not eliminate obligations that by their nature should survive termination, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and applicable payment obligations.
